These Terms of Service ("Terms") constitute a binding agreement between you ("User" or "you") and AGENTWILL PTE. LTD. ("Company," "we," or "us") governing your use of Noumi and all associated features and integrations (collectively, the "Service").
By accessing or using Noumi, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
Noumi is an AI-powered personal and team assistant that helps you accomplish knowledge work tasks. Core capabilities include:

You control Connector authorization. You must explicitly grant Noumi access to each Connector. You may revoke access at any time from Noumi Settings or directly from the third-party service.
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into binding contracts to register for and use Noumi.
You agree to provide accurate, current, and complete information when registering and to keep your account information updated.
You are solely responsible for all activity under your account. Keep your credentials confidential. Do not share, sell, or transfer your account. Notify us immediately at official@noumi.ai if you suspect unauthorized access.
You may cancel your account at any time. Upon cancellation, we will delete your personal data within 30 days, subject to legal retention requirements. Active paid subscriptions are not automatically refunded upon cancellation.
You may use Noumi only for lawful purposes and in accordance with these Terms.
You agree not to use Noumi to:
When using Connectors, you additionally agree to comply with the terms of each connected third-party platform, to use Connector access only for accounts you are authorized to manage, and that you are solely responsible for actions Noumi takes on connected services at your direction.
AI-generated content is provided for informational and productivity purposes. It may be inaccurate, outdated, or incomplete. You are responsible for reviewing and verifying AI output before relying on it for decisions, especially in medical, legal, financial, or safety-critical contexts.
You retain ownership of all content you create, upload, or import into Noumi ("User Content"), including files, documents, and data imported from connected services.
By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, transmit, and display your User Content solely to provide the Service to you and your authorized collaborators. This license does not permit us to commercialize your content. It terminates when you delete the content or cancel your account.
Data accessed from connected services (e.g., Gmail emails, Google Drive files, Notion pages) remains owned by you and subject to the terms of those services. We access such data only to perform actions you explicitly request.
Any feedback, suggestions, or ideas you submit may be used by us to improve the Service without obligation to you.
All intellectual property in Noumi — including software, interface design, trademarks, logos, and platform content — is owned by AGENTWILL PTE. LTD. or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works based on our IP without written permission.
Noumi offers paid subscription plans. Features, pricing, and billing cycles are described on the pricing page.
Subscriptions are billed on a recurring basis. Auto-renewal occurs 24 hours before the current period expires. You may disable auto-renewal in Account Settings before the renewal date.
Subscription fees are generally non-refundable. Exceptions: If a material service outage (core features unavailable for more than 72 consecutive hours) occurs due to our fault, you may request a pro-rated credit or refund for the affected period. Accounts suspended for violation of these Terms are not eligible for refunds.
We may change subscription pricing with at least 30 days' notice. Changes do not affect your current paid billing period.
Connecting a third-party service to Noumi is voluntary. You remain responsible for your use of those services and for complying with their terms. We are not responsible for the availability, accuracy, or actions of third-party services.
You can revoke Noumi's access to any Connector at any time via Noumi Settings → Connectors, or your third-party account's authorized apps settings. Revoking Connector access does not delete content already saved to your Noumi Workspace.
As a Project owner, you are responsible for managing collaborator permissions. You bear responsibility for actions collaborators take within your Workspace.
As a collaborator, you may only access authorized Projects and may not attempt to access content beyond your granted permissions.
We strive for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features with reasonable notice. For major feature removals or service shutdown, we will provide at least 60 days' notice to paid subscribers and a 30-day data export window.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT AI OUTPUT IS ACCURATE, THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, PROFITS, OR GOODWILL) ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
We are not liable for any damages resulting from actions taken on connected third-party services at your direction, data loss in third-party systems, or outages of third-party platforms.
You agree to defend, indemnify, and hold us harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your use of Connectors in violation of third-party terms.
We may suspend or terminate your access if you materially breach these Terms, cause harm to other users or third parties, or if required by law. Where feasible, we will provide notice and an opportunity to cure. Upon termination, your license to use the Service ends, and we will provide a data export window per Section 9.
These Terms are governed by the laws of the People's Republic of China (excluding Hong Kong, Macau, and Taiwan). Disputes shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the competent People's Court in Shanghai.
For users in the European Economic Area: Nothing in these Terms limits your rights under mandatory local consumer protection laws.
We may update these Terms at any time. Material changes will be communicated with at least 15 days' notice via in-app notification or email. Continued use after the effective date constitutes acceptance of the updated Terms.
